Terms of Service

Preamble

These Terms of Service (hereinafter "ToS") are established by:

These ToS apply exclusively to business-to-business (B2B) relationships. Subscribing to the VocalChef service implies unconditional acceptance of these ToS.

Article 1 — Scope of Service

VocalChef is a Software as a Service (SaaS) solution for AI-powered order taking, accessible online via QR code, direct link, Google Business Profile, or incoming phone call.

VocalChef's AI assistant takes restaurant orders 24 hours a day through two channels:

  • AI Chat (text) — text-based conversation from the customer's smartphone, available on all plans
  • AI Voice (calls) — real-time voice conversation via internet or incoming phone call (STARTER, PRO, and MULTI plans)

Available features vary depending on the subscribed plan (DISCOVERY, STARTER, PRO, or MULTI), as described in Article 3.

Article 2 — Contract Formation

The contract is formed upon acceptance of these ToS during online subscription at vocalchef.ai, or by signing a purchase order issued by the Service Provider.

A confirmation email summary is sent to the Client within 24 hours of subscription. This email constitutes an acknowledgement of receipt and forms an integral part of the contract.

Article 3 — Pricing & Payment

All prices are quoted in euros excluding VAT (excl. VAT). Applicable VAT at the current rate (20%) is added to the net amount. Payment is made by credit card via Stripe, automatically charged on the 1st of each month.

In the event of late payment, penalties equal to 3 times the statutory interest rate apply, along with a flat-rate recovery fee of €40 (Art. L441-10 of the French Commercial Code).

Overage charges (voice calls):

  • • STARTER: €0.15/call beyond 200 calls/month
  • • PRO: €0.12/call beyond 500 calls/month
  • • MULTI: €0.10/call beyond 750 calls/month/site

The MULTI plan includes a surcharge of €199 excl. VAT/month per additional location beyond the first.

Article 4 — Term, Renewal & Termination

The contract is concluded for an indefinite period (month-to-month), renewed automatically by tacit renewal at each monthly billing date.

Termination may be carried out at any time from the client portal, with no fees or notice period required. It takes effect at the end of the current billing period. No pro-rata refund will be granted for the period already paid.

After termination, the Client has 30 days to export their data. Beyond that, data is permanently deleted.

Article 5 — VocalChef Obligations

The Service Provider undertakes to:

  • • Ensure service availability of 99.5% per month
  • • Activate the service within 5 business days of subscription
  • • Provide support according to plan: email (DISCOVERY/STARTER), priority 7 days/week (PRO), dedicated account manager (MULTI)
  • • Host data in France, in compliance with GDPR
  • • Notify the Client of any substantial change to the service with a minimum 30-day notice

Article 6 — Client Obligations

The Client undertakes to:

  • • Provide accurate information upon subscription and keep their data up to date
  • • Maintain the confidentiality of their credentials and bear responsibility for their use
  • • Use the service in accordance with these ToS and applicable law
  • • Bear full responsibility for allergen information communicated to end customers, in accordance with applicable food safety regulations
  • • Maintain a stable internet connection for use of the dashboard

Article 7 — Liability

The Service Provider's liability is limited to direct, proven damages resulting from a breach of its obligations. In any case, the amount of compensation is capped at 3 months of subscription at the rate of the subscribed plan.

The Service Provider cannot be held liable for interruptions caused by third-party providers (Google AI, Twilio, Stripe, Stuart) or for force majeure events.

⚠ Allergens: the restaurateur is solely responsible for food safety and allergen information communicated to their end customers. VocalChef is an order-taking tool — verification of sensitive orders remains the restaurateur's responsibility.

Article 8 — GDPR

Data processed in the context of the service belongs 100% to the Client. VocalChef acts as a data processor within the meaning of Article 28 of the GDPR. The Client remains the data controller.

Data is hosted in France, retained for the duration of the subscription and deleted within 30 days of termination. It is never sold or transferred to third parties for commercial purposes.

Article 9 — Intellectual Property

The VocalChef solution (code, algorithms, interfaces, trademarks, logos, the name "Florence") is the exclusive property of JLAIEL STUDIO AI. All rights reserved.

The Client is granted a personal, non-exclusive, non-transferable licence to use the service for the duration of their subscription, strictly limited to their own internal professional use.

Article 10 — Amendments

Any pricing change will be notified to the Client by email with a minimum 30-day notice before taking effect.

If the Client refuses the new terms, they have the right to terminate their subscription without charge before the amendments take effect.

Article 11 — Confidentiality

Each party undertakes to maintain the confidentiality of the other party's information obtained in the course of the contractual relationship, for a period of 3 years after the end of the contract.

Article 12 — Governing Law & Disputes

These ToS are governed by French law. In the event of a dispute, the parties agree to attempt an amicable resolution within 30 days before any legal proceedings.

Failing an amicable settlement, any dispute shall fall under the exclusive jurisdiction of the Commercial Court of Orléans (France).
